Terms & Conditions:

i.Payment Terms:-100% against delivery and inspection (if desired) but not later than 2 weeks from the date of delivery. In case, any Department/Organization does not release the payment of the supplier within 4 weeks then interest @ 2% per month may be claimed by the supplier.

ii.Inspection of the material up to the order value of Rs. 50,000/- or quantity <100 nos. may be carried, if desired, at the premises/works of the supplier and inspection of material for more than the order value of `50,000/- or quantity >100 nos. may be carried, if desired, at consignee site or at the premises/works of the supplier by the user Department.

iii. Delivery period:-Ex-stock but not later than 2 weeks.

iv. Penalty Clause:-After expiry of delivery period, penalty @ 2% per week will be applicable. In case of any genuine reason for late delivery then same may be exempted with the approval of MD, HARTRON.

v.In case, any free gift scheme is launched by the Principal Company, same will be provided by the vendor on Rate Contract free of cost to the Purchasing Department and it will be treated as a part of Agreement.

vi. In case, any cash scheme is available from the Principal Company for the dealers during a particular period, same will be provided by the vendors on Rate Contract for that period to the Purchasing Department.

vii. The supplier will provide warranty on the material against manufacturing defect for a period of three months from the date of supply. Manufacturing defects means the item does not work or is malfunctioning at the time of its initial use. The supplier should ensure that the date of the expiry of the product should not be less than six months.

viii. In case there is downward revision of prices in the price list of any product by the Principal Company during the Rate Contract, same will be applicable for this Rate Contract. However, in case there is increase in price for any item during the Rate Contract period of 1 year, same will be absorbed by the firm.

ix. Order will be placed on the vendor(s) on Rate Contract by the Purchasing Departments/ Organizations and payment will also be released directly. However, a copy of purchase order is to be endorsed to MD, HARTRON for reference purpose.

x. MD, HARTRON can accept lower rates from the R/C vendor at any stage during the Rate Contract under price fall clause. Further, if the Principal Company reduces the price of items under Rate Contract during the validity of Rate Contract/supplies, then the rates of R/C will also be reduced accordingly.

xi. The status of discount offered by all the three Principal firms was as under:-

In addition to above, M/s HP India will provide 4% royalty to HARTRON on all the toners & Ink Cartridges except HP toner Q2612A and HP toner Q5949A. Royalty to HARTRON on these two toners will be Rs. 625/- and Rs. 511/- respectively.

xii. The representatives of all the firms agreed that the offered discount structure on DTP price would be applicable on the Toner/Ink cartridges of new/latest models of printers/multifunction devices to be supplied by them during the R/C period.

xiii. The Principal Company can include or exclude the dealers/distributers with the approval of MD even after signing of Rate Contract by submitting required EMD and relevant documents.

xiv. All the Principal Companies of above mentioned printing consumable has informed that rate offered to HARTRON are the lowest possible and they are not offering lower rates than the R/C rate of HARTRON to any Govt. Department/Organization/State. However, in case R/C items of same make are available at less price than the R/C prices during that period from its authorized dealers/distributors on the similar terms & conditions, intimation of the same be given to HARTRON by the Purchasing Departments/ Organizations in written in the interest of the State Govt. to take further action.

xv.The Rate Contract is valid upto 31.03.2012.

xvi. Arbitration Clause: In the eventuality of any dispute, the sole arbitrator shall be Financial Commissioner & Principal Secretary to Govt. Haryana, Electronics & Information Technology Department and his decision shall be binding on the concerned parties.

xvii. Jurisdiction: All disputes will be settled within the jurisdiction of Chandigarh.
